These Standard Terms and Conditions (these “Terms” or these “Website Standard Terms and Conditions”) contained herein on this site at www.biowebinar.com, shall govern your use of this website, including all pages within this website (collectively referred to herein below as this “Website”). These Terms apply in full force and effect to your use of this Website and by using this Website, you expressly accept all terms and conditions contained herein in full. You must not use this Website, if you have any objection to any of these Website Standard Terms and Conditions. Users of the Site should read the Terms of Use in conjunction with the site’s Private Policy. The Site is owned and operated by Gene Trust Inc. (hereafter referred to as “Gene Trust”, “BioWebinar”, “Gene Trust Inc”, “we”, “us” or “our”).

Please note that our Privacy Policy and Terms of Use may be updated or modified at any time without notice and your continued use of the Site will indicate your acceptance of the revised terms.

All rights to the content on the Site are reserved by Gene Trust Inc. No part of the Site may be reproduced, stored in any retrieval system, or transmitted in any form – electronic, mechanical, photocopying, recording or otherwise – without prior consent from us. 1. Intellectual Property Rights

Other than content you own, or content from third-party ownership, which may have opted to include on this Website, under these Terms, Gene Trust Inc. and/or its licensors own all rights to the intellectual property and material contained in this Website, and all such rights are reserved. 

All registered and unregistered trademarks on the Site are the sole property of their respective owners. Further, the content on the Site and provided during webinars and other events is subject to copyright, which is the property of its respective owners. You are granted a limited license only, subject to the restrictions provided in these Terms, for purposes of viewing the material contained on this Website.

The words “Gene Trust Inc.”, “BioWebinar” or any variations thereof are trade names that are owned by Gene Trust Inc., and any related marks are trademarks owned by Gene Trust Inc. You specifically agree that you will never, in any way, use the words “Gene Trust Inc.”, “BioWebinar” or any imitation or variant thereof as part of a trade name, company name, or firm name in a manner likely to cause customer confusion with BioWebinar’s services.

2. Limitation of Liability

While it is in our best interest to verify that every webinar/video/event has been taken to ensure the data and information on the Site is accurate, in no event shall BioWebinar, nor any of its officers, directors, and employees hold any liability to any party for loss or damage caused by errors or omissions resulting from negligence, accident or any other cause, whether such liability is under contract, tort or otherwise, and BioWebinar, including its officers, directors and employees shall not be liable for any indirect, consequential or special liability arising out of or in any way related to your use of this Website.

Further, neither the information on the Site nor the information provided during webinars or other events is business, legal or tax advice and should not be relied on as such.

3. Indemnification

You hereby indemnify to the fullest extent Gene Trust Inc. from and against any and all liabilities, costs, demands, causes of action, damages and expenses (including reasonable attorney’s fees) arising from your use of the Site and its related content, such as, but not limited to, posted webinars, hosted webinars and discussion forums. We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify Gene Trust Inc., and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior consent of Gene Trust. We will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.

4. Your Content and User Profile Information

In these Website Standard Terms and Conditions, “Your Content” shall mean any webinars, audio, video, text, images or other material you choose to display on this Website. With respect to Your Content, by displaying it, you grant Gene Trust Inc. a non-exclusive, worldwide, irrevocable, royalty-free, sublicensable license to use, reproduce, adapt, publish, translate and distribute it in any and all media.

Your Content must be your own and must not be infringing on any third party’s rights. You agree not to post any information on the Site unless you have the legal right to post such content and by posting such content you are not infringing the legal rights of others. You agree that any content or comments you post on the Site will not be unlawful, threatening, abusive, libelous, defamatory, pornographic, or obscene.

BioWebinar reserves the right to remove any of Your Content from this Website at any time, and for any reason, without notice.

When you join for access to the Site, or any elements of the Site such as webinars or discussion forums that may require additional or different registration criteria, you agree to only enter information about yourself that is both true and complete. You explicitly agree not to impersonate another person, such as one of our employees, hosts, editors or moderators. Similarly, you agree not to represent yourself as an employee or agent of any organization other than that which is true.

You agree not to share unauthorized commercial communications on the Site and agree to adhere to all applicable anti-spam rules and regulations. You also agree not to collect any user content or information by any automated means.

For any webinars that are posted by you, BioWebinar reserves an exclusive right to allow or deny publishing at the Site, without cause or explanation.

You are solely responsible for keeping your contact information current, accurate, complete and secure in user profiling setting and in the webinar submenu which lists all of webinars that are posted by you.

5. No Warranties

This Website is provided “as is,” with all faults, and Gene Trust Inc. makes no express or implied representations or warranties, of any kind related to this Website or the materials contained on this Website. Additionally, nothing contained on this Website shall be construed as providing consult or advice to you. We do not warrant the Site will be secure, error-free, or function without disruption.

6. Termination

We reserve the right, at any time, without notice and without reason, to cancel or terminate an account of any individual or refuse their current or future access. We may also terminate the account of any individual for violation of the Terms of Use. Upon termination, all rights granted to you will also terminate. We reserve the right to refuse to accept a registration for a terminated account.

7. Access Limit

Access to certain webinars, events, documents, articles or forums on the Site may be restricted. Registration does not guarantee access to those items. This may occur with webinars where the audience profile is defined by our partners. Webinar registrations should therefore be viewed as an application and not a guarantee of access to content.

8. Third Party Materials

Opinions and views expressed or implied on the Site are not necessarily those of BioWebinars. The company does not endorse any sponsors or advertisers, or their products or services, and accepts no responsibility for content provided by such parties.

The Site may include links to third party sites. We take no responsibility for the functionality of those links or the content posted on the third-party sites to which you are redirected.

9. Governing Law & Jurisdiction

These Terms will be governed by and construed in accordance with the laws of the State of Massachusetts, USA, and you submit to the non-exclusive jurisdiction of the state and federal courts located in Massachusetts, USA for the resolution of any disputes.

10. Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provisions shall be deleted without affecting the remaining provisions herein.

11. Variation of Terms

BioWebinar is permitted to revise these Terms at any time as it sees fit, and by using this Website you are expected to review such Terms on a regular basis to ensure you understand all terms and conditions governing use of this Website.

12. Assignment

BioWebinar shall be permitted to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification or consent required. However, you shall not be permitted to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.

These Terms, including any legal notices and disclaimers contained on this Website, constitute the entire agreement between BioWebinar and you in relation to your use of this Website, and supersede all prior agreements and understandings with respect to the same.

You will not share your account information with any other individual. You agree to keep confidential all account information that permit access to and enable use of the Site. You must notify us immediately of any breach of security or unauthorized use of your account. We will not be held liable for any losses caused by any unauthorized use of your account.
